Cephio sp. z o. o. [Ltd.] provides a powerful, easy to use, intuitive and customizable software program for cephalometric analysis. These Terms and Conditions (“Terms”), together with our Privacy Policy, set out the basis on which Cephio grants you (as a user, visitor or subscriber) access to its services, products and content via its website located at https://www.cephio.com (“site”) (all together referred to as “Cephio Platform”). Please read these Terms carefully because they constitute a binding legal agreement governing your use and access of the Cephio Platform. By using or continuing to use the site and its services, you are signifying your unqualified acceptance to be bound by these Terms. If you do not agree to be bound by these Terms, please do not use the site.

3. REGISTRATION

You may be required to register and submit certain personal information to access certain services, features and functionalities of the site. Impersonating another person or entity may lead to suspension or deletion of your account with or without notice. You are personally responsible for the safety of your account and confidentiality of your login information. If you suspect that your account has been compromised, please change your password as soon as possible and notify us if necessary.

Cephio grants you a limited license to view, use and download fair copies of its information or contents on this website for your own personal, non-commercial use only. Except as provided herein, no portion of this website, its contents or software code used on the site may be duplicated, adapted, reproduced, publicly performed or stored in a retrieval system without the prior written permission of Cephio. Reverse-engineering, disassembling, or decompiling any code or software used on the site is prohibited to the extent that applicable law permits. Cephio reserves the right to suspend, delete or permanently ban and prevent further access to the site to, any user who violates these Terms.

The Cephio Platform is owned by Cephio and all Intellectual Property Rights in the website and materials thereon are owned by Cephio and/or its licensors. Cephio also owns all right, title and interest in all trademarks, service marks, brand names, and/or trade names appearing on the Cephio Platform and reserves all rights of ownership to the Cephio Platform including all associated intellectual property rights under copyright, trademark, trade secret, or patent, trademark and/or other applicable domestic and international laws. These Terms grants you a usage licence only. Nothing in these Terms grants any ownership or title in or to Cephio Platform and services to you. In situations where you are permitted to duplicate or reproduce any part of the Cephio Platform or its content, any copyright symbols, trademark symbols and other proprietary notices appended to or appearing on the materials supplied by Cephio must be reproduced. To the extent applicable law permits and except as provided in section 4 above, you may not duplicate, reproduce, distribute by sale, lease, rental, or licence, or republish any content contained on the site without our prior written approval.
You agree not to: (a) to the degree that applicable law permits, decompile, disassemble or reverse-engineer the site or any part of the services, in whole or in part; (b) create derivative services, content or websites based upon the Cephio Platform; (c) join Cephio for the purpose of developing a service or entity that directly competes with Cephio Platform and services; (d) sublicense or lease your right to use or access to the Cephio Platform without our express written approval; (e) try to defeat, bypass or circumvent any security or access control feature of the site; or (f) upload or submit virus, malware or other harmful or destructive content or applications on to the site.

Cephio provides this website and its contents “as is” without warranty or representation of any kind, express of implied including warranty of fitness for a specific task or purpose. We do not warrant that our services, documentation, information or content will meet your requirements or that functioning and operation of the website will be stable or error-free, or that defects in the site will be corrected. We also do not represent or warrant that the site or its content will be relevant, functional, and virus-free, or that defects will be rectified. The full risk as to performance and results of the Cephio Platform is assumed entirely by you, as the user, visitor or subscriber. Additionally, Cephio does not warrant or make any guarantees as to the use or results of the Cephio Platform and services in terms of their accuracy, effectiveness, reliability or suitability for a particular purpose or task. Judgement of fitness or appropriateness of Cephio Services for a particular purpose or task rests entirely on the user.

7. LIMITATION OF LIABILITY

Your use of the Cephio Platform is at your risk. To the extent that applicable permits, Cephio disclaims all liability in connection with or arising out of the functioning of the site or your reliance or use of Cephio Platform’s information or services, for any claim whatsoever, irrespective of the form or nature of liability, whether in contract, tort, negligence or strict liability. In no event shall Cephio be held liable for any incidental, special, indirect or consequential damages whatsoever, arising out of or connected with your use or access to the site including, but not limited, to, damages for inability to use the site, reliance on any content, representation or information on the site, errors or omissions, virus or malware infections, business interruption or delay in deployment of services or communication of information to or from the user, even if Cephio has been warned of the likelihood of such damages.

You must not capture cephio.com pages, content or page elements within frames and present them as your own or misrepresent such content. If you access the Cephio Platform from or through other websites, you do so at your own risk. Cephio will not accept liability for any harm, loss or damages related to accessing Cephio Services using third-party websites or services; (b) you must not misrepresent the origin of the content; (c) all links must be forward links pointing the client browser directly to “cephio.com” and not other pages on the site; and (e) your links must not create a misleading impression that you are associated, sponsored by, or in some other way affiliated with, Cephio.

Cephio reserves the right to control and manage access to its services including termination, suspension or permanent ban on access to this website for violations of these Terms and Conditions.

11. CANCELLATION

Cephio provides a pay-as-you-go service and no charges will be applied if you don’t use the service. If you no longer wish to use the Cephio Service, you can deactivate your account at any time by deleting the credit card that is currently connected to your account in settings dashboard. If you would like your account and all your information to be deleted permanently, please contact us using via email support@cephio.com.

Entire Agreement: These Terms and any additional policies and guidelines posted on this website constitute the complete agreement between Cephio and you and replace all preceding written or oral negotiations or agreements.
Severability: If any term of these Terms is held invalid or unenforceable, that term shall be interpreted in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining terms shall not be affected.
Assignment: Only Cephio can assign, directly or indirectly, all or part of its rights or obligations under these Terms. You must not assign your rights or obligations hereunder without Cephio’s prior written consent. The rights and obligations under these Terms shall bind and benefit the permitted successors or assigns of the parties.
Governing law: You agree that the laws of Poland govern these Terms and conditions, its subject matter, your use of the Site, and any claim or disagreement that you may have against Cephio, without regard to its conflict of laws rules.
